Agreement to these terms
These terms set the ground rules for visiting all4onelocal.com and for working with All4One Local, a digital services company located at 1813 E Morava Ave, Anaheim, CA 92805. In these terms, “we,” “us” and “our” mean All4One Local, and “you” means the person or business that visits our site, contacts us, or hires us.
By browsing the site, submitting a form, subscribing to our newsletter or engaging us for a project, you agree to be bound by these terms and by our Privacy Policy and Refund & Fulfillment Policy. If you are accepting on behalf of a company, you confirm that you have the authority to commit it.
If you do not agree with any part of these terms, please do not use the site or our services. When a signed proposal or statement of work for your project says something different from these terms, the proposal or statement of work controls for that project.
Our services
We provide digital services to businesses. They include website development, mobile app development, CRM solutions and PPC management, along with custom software development. In general:
- Website development covers the design and coding of a site, its launch, and the handover arrangements we agree with you.
- Mobile app development covers building an app for iOS, Android or both, and preparing it for submission to the relevant app stores.
- CRM solutions cover setting up and tailoring a customer-management system, moving existing data into it, connecting it to your other tools, and any support plan you choose.
- PPC management covers planning, launching and tuning paid advertising campaigns on the platforms we agree on, such as Google Ads.
- Custom software development covers building bespoke software and integrations for a specific business process.
The exact scope of your engagement is whatever the proposal or statement of work says. Work outside that scope is not included unless we agree to it in writing. We may add, change or retire services from time to time, but doing so does not alter work we have already agreed to deliver.
How an engagement begins
Booking an appointment or sending our contact form asks for a conversation. It does not commit either of us to anything. After we talk, we may send a proposal or statement of work that sets out the scope, deliverables, schedule and fees for your project.
An engagement begins when you accept that document in writing, by signature, email confirmation or electronic approval, and pay any deposit it calls for. A proposal stays open for the period it states, or 30 days if it states none, after which we may revise or withdraw it. Any estimate we give in conversation is only a guide and is not a fixed price unless the proposal says so.
Fees and payment
Your fees and how they are billed are set out in your proposal or statement of work. Depending on the project, that may be a fixed price, payments tied to milestones, hourly billing, or a recurring monthly fee. The rules below apply unless your proposal says otherwise.
- Deposits and invoices. A deposit may be due before work starts. Other invoices are due by the date shown on the invoice.
- Recurring fees. Monthly services, such as PPC management or a CRM support plan, are billed in advance for each period and continue until either of us ends them under these terms.
- Advertising spend. The money spent on ads is separate from our management fee. It is paid to the advertising platform, either directly by you or through us at cost, as the proposal states.
- Outside costs. Domain names, hosting, software licenses, app store fees, stock media and similar items are your responsibility unless the proposal lists them as included.
- Taxes. You are responsible for any sales, use or similar taxes that apply to your purchase, other than taxes on our income.
- Late payment. If an invoice goes unpaid after its due date, we may pause work until it is settled and apply late charges where your proposal or invoice provides for them, within the limits the law allows.
Refunds and cancellations are covered in our Refund & Fulfillment Policy, which forms part of these terms.
Your responsibilities as a client
Good results depend on what you contribute as well as what we build. As a client, you agree to:
- supply the content, brand materials, access and information we need, and make decisions promptly. Delays on your side may move the schedule and, where they require extra work, the fees;
- name one contact who can approve work on your behalf;
- make sure you own, or hold the right to use, everything you give us, including text, images, logos, data and code, and that it does not infringe anyone’s rights or break the law;
- follow the laws that apply to your own business, such as rules on advertising, email and text marketing, privacy, accessibility and consumer protection. You must also obtain any consents needed for the customer or lead data you ask us to collect, store or use. We build what you specify, but responsibility for how your business uses it stays with you; and
- keep your logins and access credentials secure, and tell us right away if you suspect they have been compromised.
Schedules, revisions and change requests
The dates we give are good-faith targets. They depend on you providing materials and feedback on time, and they are not guaranteed unless your proposal calls them fixed.
Revisions. Your proposal states how many rounds of revisions are included. Please gather your team’s comments into a single set for each round. Additional rounds are billed at our then-current rates.
Review and acceptance. When we deliver a milestone or finished work, you have a reasonable period, as set out in your proposal or statement of work, to test it and tell us in writing about any material way it departs from the agreed scope. We will correct those problems within a reasonable time. If we hear nothing within that period, the work is treated as accepted.
Change requests. If you want something added or altered after the scope is agreed, send the request in writing. We will tell you how it affects the schedule and cost before doing the work, and we proceed only once you approve.
Ownership and licensing
Once you have paid in full, you own the custom work we create specifically for you, such as your finished website design and code, your app, your custom software and your CRM configuration. Until payment is complete, we keep ownership and you may use the work only to review it.
A few things stay outside that transfer:
- Our tools and know-how. We keep the rights to frameworks, libraries, templates, code snippets, methods and other materials we had before your project or build for use across projects. You receive a non-exclusive, perpetual license to use them as part of what we deliver.
- Third-party and open-source components. These remain under their own licenses, which may carry conditions. We will point out any that materially affect how you can use the work.
- Your materials. Everything you provide stays yours. You give us permission to use it for as long as we need it to carry out the project.
- Advertising accounts. Ad accounts, tracking properties and campaign data created for your PPC work belong to you, and we ask that they be opened in your name.
Unless you tell us in writing that you would prefer otherwise, we may mention your project and show non-confidential parts of the finished work in our portfolio and marketing.
Third-party platforms and tools
Much of our work runs on platforms we do not own or control, including advertising networks such as Google Ads, the Apple and Google app stores, hosting providers, domain registrars, analytics tools, payment services, and CRM and marketing software.
These providers set their own rules, fees and review processes, and they can change features, prices and policies, reject submissions, disapprove ads, suspend accounts or suffer outages without notice. We are not responsible for those decisions or events. Where a problem falls within the agreed scope, we will make reasonable efforts to help you resolve it, such as correcting an app so it can be resubmitted.
When we work inside an account held in your name, we do so on your authority. You are responsible for following the provider’s terms for that account and for keeping it in good standing.
Results and warranties
We promise to perform our services with reasonable skill and care and to deliver work that meets the scope you approved. We do not promise any particular business outcome. Website traffic, leads, sales, search or ad performance, app downloads, user adoption and revenue depend on markets, competitors, platform decisions, your own offer and many other things beyond our control.
Apart from that promise, our website and services are provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all other warranties, whether express or implied, including those of merchantability, fitness for a particular purpose and non-infringement, and any promise that our site or your software will run without interruption or errors. No software is free of defects, so our commitment is to correct problems that fall within the agreed scope, as described in the review and acceptance terms above.
If the law where you live does not permit some of these exclusions, they apply only to the extent it does.
Limits on liability and indemnity
Limit on what we owe. To the fullest extent the law allows, All4One Local and its owners, employees and contractors are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, that arise from our website or services. This holds even if we were told such losses were possible. Our total liability for all claims connected with a project is capped at the amount you paid us for the services that gave rise to the claim. None of this limits liability that the law does not allow us to limit, such as liability for fraud or willful misconduct.
Your indemnity. You agree to defend us against, and cover the losses and reasonable legal fees from, any third-party claim that results from materials you supplied, from your use of our work in violation of law or of someone’s rights, or from your breach of these terms. We will tell you promptly about any such claim, and you will have control of its defense with our reasonable cooperation.
Confidentiality
Each of us may learn non-public information about the other during an engagement, such as business plans, pricing, customer data, credentials, technical designs and methods. Each of us agrees to use that information only for the project, to protect it with reasonable care, and to share it only with people who need it and are bound to keep it private.
This duty does not cover information that is or becomes public through no fault of the receiving party, was already known to it, was developed on its own, or was lawfully received from someone else. A party may disclose confidential information when a law or court order requires it, and should give notice first where it is allowed to. The duty lasts for three years after the engagement ends, and for as long as the information remains a trade secret or personal data.
Using our website
You may use our website for lawful purposes only. While using it, you agree not to:
- attempt to reach parts of the site or our systems that you are not meant to access, or probe them for weaknesses;
- introduce malware, overload the site, or interfere with how it works for others;
- scrape or copy the site with automated tools, other than the ordinary indexing done by search engines;
- submit false, misleading or spam content through our forms, or pose as another person or business; or
- use the site to build or promote a competing service.
Our content. The text, graphics, logos, designs, code and project examples on the site belong to All4One Local or its licensors and are protected by intellectual property laws. You may view the site and print a page for your own non-commercial reference. Any other use, including copying, modifying or republishing our content, requires our written consent. Reviews shown from Google belong to their authors and to Google.
Links to other sites. Our pages may link to websites run by others, including Google, LinkedIn and the Better Business Bureau. A link is not an endorsement, and we are not responsible for the content or practices of those sites. You visit them at your own risk.
We may suspend or restrict access to the site for anyone who breaks these rules.
Ending an engagement
Either of us may end an engagement by giving written notice.
If you end it. For a one-time project, you pay for the work completed up to the end date, including work in progress, and for any third-party costs we cannot cancel. For a recurring service, such as PPC management or a CRM support plan, you give 30 days’ written notice, and the service continues, and is billed, until that notice period runs out. Whether any money comes back to you is governed by our Refund & Fulfillment Policy.
If we end it. We may pause or end an engagement if invoices go unpaid, if you break these terms, or if you ask us to do something unlawful. Where it is practical, we will tell you what is wrong and allow 10 days to fix it first.
What happens afterward. We will hand over the completed work you have paid for, and each of us will return or delete the other’s confidential information on request. Terms that by their nature should outlast the engagement, including those on payment, ownership, confidentiality, liability and disputes, stay in force.
Governing law and disputes
These terms, and any dispute connected with our website or services, are governed by the laws of the State of California, without regard to its conflict-of-law rules.
If a disagreement arises, please write to us first at the address below. Most issues can be settled by talking, and we ask both sides to try in good faith for 30 days before starting any formal proceeding. If that does not work, the state and federal courts located in Orange County, California have exclusive jurisdiction, and you and we consent to them as the place for resolving the dispute. Either of us may seek a court order at any time to stop misuse of intellectual property or confidential information.
General terms
- Whole agreement. These terms, our Privacy Policy, our Refund & Fulfillment Policy and any signed proposal or statement of work make up the entire agreement between us, and replace earlier discussions about the same subject.
- If part is unenforceable. If a court finds any provision invalid, that provision is limited to the smallest extent needed, and the rest remain in effect.
- No waiver. Delay in enforcing a right does not mean we have given it up.
- Assignment. You may not transfer your rights or duties under these terms without our written consent. We may transfer ours as part of a merger, acquisition or sale of our business.
- Events beyond our control. Neither of us is responsible for a delay or failure caused by events outside reasonable control, such as outages of utilities or platforms, natural disasters, or government action. Payment duties are not excused by this.
- Relationship. We work as an independent contractor. Nothing here makes us partners, joint venturers or employer and employee.
- Notices. We may send notices to the email address you gave us, and you may send notices to the contact details below.
- Changes. We may update these terms by posting a new version here with a new “Last updated” date. Updates apply to your use of the website from then on. They apply to an engagement already under way only if you agree to them.
